Terms of Service

These Terms of Service govern your use of the Mena.ai platform. By accessing or using our services, you agree to be bound by these terms. Please read them carefully.

1. Acceptance of Terms

By accessing, registering for, or using the Mena.ai platform ("Platform"), operated by Mena.ai ("Company", "we", or "our"), located at Lisbon, Portugal, you ("User" or "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree with any provision of these Terms, you should not access or use the Platform.

  • Use of the Platform constitutes full and unrestricted acceptance of these Terms.
  • You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.
  • If you are using the Platform on behalf of an entity or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Service Description

Mena.ai is an AI-powered clinical management platform designed specifically for psychologists and mental health professionals. The Platform offers the following features:

  • AI-powered automated clinical note transcription
  • Therapeutic session analysis and summarisation
  • Patient management and clinical records
  • Appointment scheduling and calendar management
  • Billing and financial management
  • Secure therapist-patient communication
  • Integrated video calls for teleconsultations

3. Account Registration and Responsibilities

To access the Platform, you must create an account by providing truthful, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your access credentials.

  • Provide truthful, accurate, and up-to-date registration information
  • Maintain the security and confidentiality of your password and access credentials
  • Notify us immediately in the event of unauthorised use of your account
  • Be responsible for all activities conducted through your account
  • Not share your access credentials with third parties

Professional Accounts

The Platform is intended exclusively for licensed and qualified mental health professionals. By registering, you represent that you hold the necessary professional qualifications to practise in accordance with applicable legislation in Portugal.

4. Subscription and Billing

Use of the Platform is subject to a monthly subscription fee. The billing terms are as follows:

Plans and Pricing

The Platform offers subscription plans: Basic at EUR 30 per month, Premium at EUR 75 per month, and Enterprise with custom pricing. Annual billing is available with a 20% discount. All prices exclude applicable VAT. Available plans, their respective features, and up-to-date pricing are detailed on our pricing page. We reserve the right to change prices with 30 days' prior notice.

Free Trial Period

New Users benefit from a 14-day free trial with access to the full features of the Platform. At the end of the trial period, a paid subscription is required to continue using the services. No payment details are required during the trial period.

Payments and Renewal

Subscriptions are billed monthly and renew automatically at the end of each billing period. Payment is processed through secure payment providers. You may cancel your subscription at any time, and access will remain active until the end of the current billing period.

  • Payments are processed securely through Stripe
  • Invoices are available in your account management area
  • In the event of payment failure, your account may be suspended after a grace period
  • No refunds are issued for partial usage periods

5. Acceptable Use Policy

You agree to use the Platform responsibly and in compliance with applicable law. The following is expressly prohibited:

  • Using the Platform for unlawful or unauthorised purposes
  • Attempting to gain unauthorised access to Platform systems or data
  • Introducing malicious software, viruses, or harmful code
  • Reproducing, distributing, or modifying any part of the Platform without prior authorisation
  • Using the Platform in a manner that may compromise its security or performance
  • Sharing or transferring your account to third parties
  • Using the Platform to store or transmit defamatory, offensive, or illegal content
  • Reverse engineering, decompiling, or disassembling any component of the Platform

6. Intellectual Property

All intellectual property rights relating to the Platform, including without limitation software, design, trademarks, logos, text, graphics, and other content, are the exclusive property of Mena.ai or its licensors.

  • The Platform is protected by copyright, trademark, and other intellectual property laws
  • You are granted a limited, non-exclusive, non-transferable, and revocable licence to use the Platform in accordance with these Terms
  • You retain ownership of all clinical data and content you input into the Platform
  • Mena.ai does not claim ownership of your clinical data

7. AI-Generated Content Disclaimer

The Platform uses artificial intelligence technology to assist mental health professionals in their clinical activities. It is essential to understand the following limitations:

  • AI-generated outputs are recommendations and auxiliary tools, never clinical diagnoses
  • Artificial intelligence does not replace your professional clinical judgement
  • The therapist retains full and exclusive clinical responsibility for all diagnoses, treatments, and therapeutic decisions
  • Automatically generated transcriptions and summaries must always be reviewed and validated by the professional before being incorporated into the clinical record
  • Mena.ai does not guarantee the absolute accuracy of AI-generated outputs
  • You are responsible for verifying and correcting any inaccuracies in automatically generated content

EU Artificial Intelligence Act Compliance

Mena.ai is committed to complying with Regulation (EU) 2024/1689 on artificial intelligence (the EU AI Act). We have implemented human oversight, transparency, and accountability mechanisms in compliance with applicable requirements. Users have access to tools for providing feedback on AI outputs, contributing to the continuous improvement of the system.

8. Data Protection

The protection of personal and clinical data is a fundamental priority of Mena.ai. Personal data processing is carried out in compliance with the General Data Protection Regulation (GDPR) and applicable Portuguese legislation.

  • Personal data is processed in accordance with our Privacy Policy
  • Clinical data is encrypted at the field level with individual keys per organisation
  • You act as the data controller for your patients' data; Mena.ai acts as the data processor
  • We implement appropriate technical and organisational measures to ensure data security
  • Data is stored on servers located within the European Economic Area
  • You are responsible for obtaining the necessary consent from your patients for the processing of their data on the Platform

Data Processing Agreement

By using the Platform to process patient data, you enter into a data processing agreement with us in accordance with Article 28 of the GDPR. The detailed terms of this agreement can be found in our Privacy Policy. For more information, please refer to our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Mena.ai and its directors, employees, partners, and suppliers shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, usage, or business opportunities
  • Service interruptions or failures, including scheduled maintenance periods
  • Actions or decisions taken based on AI-generated outputs
  • Errors, inaccuracies, or omissions in automatically generated transcriptions or analyses
  • Damages resulting from unauthorised access to your account due to failure to protect your credentials

Maximum Liability Cap

In any case, the total liability of Mena.ai shall not exceed the amount paid by you in the 12 months preceding the event giving rise to the claim. This limitation applies regardless of the nature of the action, whether contractual, tortious, or otherwise.

Service Availability

Mena.ai will use commercially reasonable efforts to keep the Platform available and operational. However, we do not guarantee uninterrupted availability and reserve the right to temporarily suspend the service for maintenance, updates, or security reasons.

10. Termination

Either party may terminate this agreement under the following terms:

Termination by User

You may cancel your subscription and close your account at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of the current billing period.

Termination by Mena.ai

Mena.ai reserves the right to suspend or cancel your account, without prior notice, in the event of:

  • Violation of these Terms of Service
  • Use of the Platform for unlawful purposes
  • Non-payment after the grace period
  • Conduct that puts the security or integrity of the Platform at risk

Effects of Termination

Following termination, you will have a 30-day period to export your data. After that period, data will be deleted from our systems in accordance with our Privacy Policy and applicable legislation.

11. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Portuguese Republic. Any disputes arising from or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Cascais, Portugal, without prejudice to the use of alternative dispute resolution mechanisms provided for by law.

12. Changes to Terms

Mena.ai reserves the right to modify these Terms of Service at any time. Material changes will be communicated to Users with a minimum of 30 days' prior notice, via notification on the Platform or by email. Continued use of the Platform after the changes take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you should cease using the Platform and cancel your subscription.
